- Abstract
In its Skanska ruling, the European Court of Justice did not rule in favor of the (joint and several) liability of the economic unit for antitrust (follow-on) damages but in favor of the liability of a legal successor. The decision is solely intended to hold a legal successor liable for damages caused by the legal predecessor if (i) there is economic continuity because the company has taken over all shares in the other company and has also continued its business activities, (ii) the original cartel offender no longer exists and consequently the original subject of liability is no longer available, and (iii) the legal successor is subject to a fine for the cartel violations of Art. 101 TFEU by the other group company.
