- Abstract
The article assesses the legal hazards that corporate executives in the U.S. face in connection with shareholder derivative and class action lawsuits. The author discusses the incidence of shareholder lawsuits in the U.S. and presents an examination of complaints raised by shareholder-plaintiffs. The article also discusses conclusions that can be drawn from the resolution of shareholder lawsuits and factors of a court trial that influence the tendency towards the settlement of shareholder suits.
