- Abstract
The article analyzes the Revised Uniform Limited Liability Company Act (RULLCA), which was approved by the National Conference of Commissioners of Uniform State Laws (NCCUSL) in the U.S. It states that the Act adopts an uncabining approach to fiduciary duties. According to the author, the Act does not have a general statute of frauds provision which requires that any documents, other than those that must be filed with the Secretary of State, be in writing.
