- Abstract
The article discusses theorised corporate governance approaches use by companies in the US-Great Britain-Australian jurisdictions and the market-driven surrogates that emerged as the consequences. It examines the inversion of the hierarchy of corporate governance particularly the corporate board that dictates agenda and the actions of chief executive officers (CEO) and the board. It argues that the paradigm shift needs a reorientation of corporate governance to ensure managerial accountability.
