- Abstract
The article discusses the fraud-on-the-market securities-based tort in America as of November 2013, focusing on impersonal deceit, the economic loss rule, and several fraud-related presumptions. The differences between common-law actions for deceit and private actions under the U.S. Securities and Exchange Commission's (SEC's) Rule 10b-5 are addressed, along with a common law scienter requirement and several rulings by the U.S. Supreme Court.
