- Abstract
The article discusses the tenth anniversary of the Delaware Supreme Court's (DSC's) ruling in the 2003 case Omnicare Inc. v. NCS Healthcare Inc. which deals with fiduciaries, corporate voting power, and the use of deal protection devices in mergers and acquisitions. Other topics include judicial review, the deferential business judgment rule, and non-change-in-control transactions. The 1985 DSC case Unocal Corp. v. Mesa Petroleum Co. is examined, along with corporation law in Delaware.
