An essay is presented which addresses American securities laws, the legal aspects of past illicit offers and sales, and it mentions the views of the late American law professor Alan R. Bromberg. The multi-volume treatise "Securities Fraud and Commodities Fraud" by Bromberg and Lewis D. Lowenfel is examined, along with the U.S. Securities Act and liability for damages in the country. Rescission offers and securities fraud-related legal cases in the U.S. are examined.
