- Abstract
The article presents an analysis regarding the case between Liberty Property Trust and Republic Properties Corp. on the basis of securities fraud. It provides an overview and background of securities law and business formation particularly a discussion of prior cases having conflicting holdings of determining when a limited partnership interest is a security. Furthermore, the facts of Liberty Property and the conflicting reasoning between the majority and dissenting opinion are also discussed.
