- Abstract
The article presents information on the use of legislative power to curb the size and the type of compensation paid to the executives in the U.S. It informs that the state courts in the U.S. are willing to review the process used by the board of directors of a company in issuing compensation to the executives. It further informs that there has been a shift on the part of the U.S. Congress to use the federal securities law to enact corporate governance rule.
