- Abstract
The article discusses the evolution of Rule 10b-5 secondary actor liability of the Securities and Exchange Commission (SEC) 1934 that provide protection against fraudulent act during the course of business transaction in the U.S. It focuses on the development of singular standard, which promote certainty, efficiency and deterrence while the harmed investors adequately compensated in the process. It also tackles about the liability of the secondary actor under the Rule 10b-5 and SEC tool that regulates the markets.
