The article discusses the concept of meaningful cautionary which may limit the possibility in negating the misleading of false statements through actual knowledge with the use of cautionary language which is protected by safe harbor provision in the U.S. It states cases in relation to bespeaks caution doctrine and statement materiality. It presents the history of the Private Securities Litigation Reform Act and the judicial interpretations of Safe Harbor forward-looking statements.
