- Abstract
The article discusses the importance and definition of materiality under the federal securities law in the U.S. It notes the 2 subsections of the Securities Act of 1933 in which the U.S. Supreme Court refers materiality to the common law definition of fraud. The author further highlights the subsection 2 of the legislation which indicates that the U.S. Securities and Exchange Commission returns to whenever the agency exercises rule-making authority to specifically define fraudulent activity.
