- Abstract
The article reflects on the ethical and legal issues related to the representation of a client in an adversarial affiliate and principals of clients matter by a lawyer or a law firm. The American Bar Association and state ethical authorities manifest that a lawyer of a corporate client is barred from a representation that is adversarial to a corporate affiliate. It discusses the U.S. Court of Appeals case for the Second Circuit of GSI Commerce Solutions, Inc. v. BabyCenter L.L.C.
