- Abstract
The article focuses on the Responsible Corporate Officer Doctrine (ROCD) which leverages prosecutors against directors to seek civil and criminal liability for corporate violations of public welfare. It suggests that directors and officers should ensure that other directors, officers, and employees have proper compliance training, proper audits are conducted with appropriate frequency, and remedial measures should be used in the event of misconduct. It discusses RCOD actions in some cases.
