- Abstract
In this article the author discusses the decision of the Delaware Chancery Court in the case involving John Q. Hammons Hotels Inc. and the requirements for corporations with controlling shareholders in the U.S. He believes that the court's decision offers costly prerequisites since the Hammons merger does not involve shareholders acquiring the minority share. Also investigated is the departure of the ruling from the Delaware doctrine and the debate on the reviews for control transactions.
