- Abstract
The article discusses the author's views about the concept of corporate governance as a subset of moral psychology, and it mentions moral values in relation to the decision making involving investors and corporate management. The corporate law scholarship of professors Lyman Johnson and David Millon is examined, along with the impacts of caring, fairness, cheating, and coercion on corporate management and shareholders. A business judgment rule is assessed.
