- Abstract
The article focuses on the impact of the corporate governance industry on the creation of governance policies and the fortunes of several companies in the U.S. The author contends that potential conflicts of interest within some governance companies bring doubt on the reliability of their proxy statements and government ratings. In addition, the author states that governance firms may be going beyond their expertise in proxy voting decisions and in governance rating due to their reliance on good governance metrics. Lastly, he says that erroneous governance metrics promoted by influential governance advisors have a harmful effect on corporate governance regulation.
