- Abstract
The article discusses a court case at the Delaware Chancery Court involving Hexion and Huntsman as a template for motivating thoughts on the interpretation of contract law under contractual conditions. It mentions the unique data sets of 528 actual material adverse event provisions used in corporate acquisitions transaction during 2007 and 2008. Moreover, material adverse event provisions can be used to allocate uncertainty contrasts with the knowledge in corporate law about its nature.
