The article focuses on need to calculate synergies if merger prices to be used to find fair value with the section 262(h) of Delaware General Corporation Law (DGCL). It mentions that decision of the Delaware Chancery Court decision in LongPath Capital, LLC v. Ramtron International Corp. with appraisal arbitrage and the court's use of merger price to determine fair value dovetail. It also mentions that discounted cash flow (DCF) analysis.
