The article examines the problems associated with the standards for extraterritorial application of U.S. securities law. It discusses the impact of the 1968 case Schoenbaum v. Firstbrook on the extraterritorial and substantive holdings rules. It also looks into different ways to reformulate U.S. securities law in order to limit the scope of the antifraud provisions.
