- Abstract
The article "Is a society with bound assets necessary?" examines the controversial discussion about the introduction of a special form of GmbH (limited liability company) called "Gesellschaft mit gebundenem Vermögen" (society with bound assets) in Germany. The authors conclude that this legal form is not advantageous for the majority of companies, neither in terms of succession nor in terms of founding a new company. The Federal Ministry of Justice is currently examining the introduction of this legal form, which is being demanded by the Stiftung Verantwortungseigentum (Responsibility Ownership Foundation) and a social movement. Supporters argue that the new legal form would facilitate succession in companies and promote sustainable entrepreneurship, while critics express concerns about possible tax avoidance models and the lack of governance instruments. The authors critically examine whether the claimed advantages are actually present and question whether the introduction of the GmbH-gebV (society with bound assets) is worthwhile at all.
