- Abstract
The article provides information on the Article 8 of the Uniform Commercial Code (UCC) governing investment securities in the U.S. In 2006, the New York Court of Appeals decided to classify promissory notes as Article 8 securities after the sale of the Schneider family's apparel companies to McNaughton Apparel Group. Under the Section 8-401, the issuer must register transfer of a certified security if certain conditions are meet. Court cases regarding attachment are also discussed.
