- Abstract
The article focuses on a lawsuit that asserts that the inclusion of an arbitration agreement materially alters a contract for the sale of goods. In the case, two parties Marlene Industries Corp. and Carnac Textiles entered into an oral agreement for the sale of goods. Marlene sent Carnac a purchase order and Carnac sent Marlene an acknowledgment of order. But neither party signed the other's form. When a dispute subsequently arose, Carnac sought arbitration and Marlene moved to stay.
