The article focuses on the narrow outlook of the SEC Rule 10b-5 right of action targeting securities fraud with reference to the U.S Supreme Court cases based on this rule. The Supreme Court cases discussed include Janus Capital Group Inc. v. First Derivative Traders, Central Bank of Denver v. First Interstate Bank of Denver and Stoneridge Invesment Partners LLC v. Scientific Atlanta Inc. Other topics include the Securities Exchange Act of 1934 and the mutual fund law and practice.
