The article discusses an unreported Delaware court case In re Novell, Inc. in which the plaintiffs who were shareholders of Novell Inc. (Novell) sought damages for alleged breach of fiduciary duties by the defendants who were Novell's Board of Directors in connection with sale of Novell. It mentions court's decision that defendants treated a serious bidder in a materially different manner than Novell's eventual acquiror which amounts to the act involving bad faith.
