- Abstract
The article discusses a court case wherein plaintiff Selectica Inc. has sued for alleged breaches of shareholder rights agreement against Versata Enterprise Inc., at the Court of Chancery in Delaware. The defendant have countersued, seeking to have the rights agreement and other actions by plaintiff's board of directors which has been declared as invalid. The defendant and counterclaim-plaintiff also seek damages for alleged breaches of fiduciary duty by the plaintiff's board.
