- Abstract
The article focuses on the balance of power in creating corporate law and governance in the U.S. James Madison, the Father of the Constitution, has contributed in writing the 1787 Constitutional Convention. Madison would prefer that the federal government has the right to veto in order to manage all state powers. However, the Anti-Federalists have opposed the idea that the national government will have strong powers. The desire to balance the power between the national and state governments was aimed.
