- Abstract
The article discusses the scandal that damaged Hewlett-Packard's public image to illustrate the effect the legal uncertainties have on corporate board of directors. Corporate law placed an increasing emphasis on directors' duty to oversee or monitor the corporation. Directors' liability for their failure to monitor the corporation gained popularity with the landmark cases, In re Caremark and In re Abbott.
