- Abstract
The article examines the growing popularity of special purpose acquisition companies (SPAC) as an alternative to initial public offerings (IPO). It argues that the regulatory framework for SPACs in the U.S. should be reworked because it creates discordant incentives between management and investors. Topics covered include history of blank check companies and SPACs, the traditional IPO process, and the advantages and disadvantages of SPACs compared to traditional IPOs.
