- Abstract
The article discusses the Delaware Supreme Court's split decision in the 2003 case Omnicare Inc. v. NCS Healthcare Inc. which deals with corporate mergers, diversified investors, and voting agreements. The majority opinion of the court is addressed, along with a reversal of the Delaware Court of Chancery's reported dismissal of the breach of fiduciary duty claims in the case. Corporate law in Delaware is mentioned, as well as merger agreements and lock-ups.
