The article discusses the author's views about the concept of contracting around U.S. securities litigation as of 2015, and it mentions the scope of litigation bylaws, shareholder litigation, and legislation in places such as Delaware. Exclusive forum selection clauses and Delaware's courts are assessed, along with fee shifting and legal prohibitions against Delaware stock corporations. The legal aspects of corporate charter provisions and breaches of state-law fiduciary duties are examined.
