- Abstract
Although some scholars have investigated the appointment of women to corporate boards from a pragmatic legitimacy angle, moral legitimacy in a self-regulatory context such as South Africa have warranted further attention. Thus this study focused on selected drivers of board gender diversity, including environmental, social and governance considerations, board characteristics, and director demographic attributes. All four proxies used to measure board gender diversity at the 100 largest companies listed on the Johannesburg Stock Exchange increased significantly over the period 2011 to 2019. Panel regression analyses revealed that younger black women and women with shorter tenures were the most likely to be appointed as directors on these boards. Negative associations were noted with lagged earnings per share and multiple stock exchange listings. Given some evidence of legitimacyseeking behaviour, nomination and human resources committees should focus more on the interconnectedness between race and gender when developing diversity policies and reporting on voluntary diversity targets.
