- Abstract
The author examines the question of whether Chief Executive Officers (CEOs) should be on the board of directors. The author argues that because of the chain of command between the board and the owners of the company, placing a CEO on the board is wrong. She points out that the board has the position of judging CEOs, and this cannot be done if one of the votes judging CEO performance is from the CEO. She also claims that having a CEO on the board compromises board independence.
