- Abstract
The article examines the changing role of institutional investors in corporate governance and corporate judicial proceedings. It relates that institutional investors in the modern American corporation can play a significant role in the reduction of managerial agency costs, thus making them the monitoring group in the corporate management. Moreover, it adds that many institutions are doubtful of the cited reduction activity which resulted to active participation in the U.S. governance debate. In this regard, various authors examines the principles behind the act of investors playing as monitors of corporate management.
