- Abstract
The article offers information on the concept of close corporation in French and Continental law as followed in the U.S. As stated, this law affects the law of business organizations in every country according to the law of the land. The English Companies Act passed in 1948 requires that the articles of a private limited company shall contain inter alia restrictions on the transfer of its shares but does not define the required restrictions. It is concluded that in the legal systems of the continent of Europe the close corporation does not exist as a separate form of business organization.
