Abstract
The article discusses a court case Grayson v. Imagination Station Inc. et al, wherein the breaching of a voting agreement enforced by plaintiff, to void certain transactions between the Imagination station and Richard Collins, was done. Grayson further alleges about the breach of fiduciary duty as a stockholder, by Collins. The Court of Chancery of the State of Delaware denied the defendant's movement to dismiss Grayson's breach of Section 141 direct claim.
