- Abstract
The article focuses on the emerging role of debtholders and the increasing use of debt instead of equity to bring a change of control at target companies. It presents case studies and assesses the value implications of corporate takeovers and regulations to examine whether activist debtholders use investment strategy similar to corporate raiders. It proposes a way for corporate boards and management teams to negotiate with activists debtholders while maintaining investment opportunities.
