- Abstract
The article discusses the Florida Fifth District Court of Appeal's ruling in the 2016 case Billington v. Ginn-La Pine Island Ltd. LLLP which deals with an argument for why Florida law should allow nonreliance (disclaimer) clauses to exclude fraud claims. The legal aspects of waiver, merger, and integration clauses are addressed, along with American contract law cases and states laws in jurisdictions such as New York, Delaware, and South Carolina.
