The article discusses the difficulties and complexities of the demand requirement in the U.S. It provides an overview of the shareholder derivative procedure in the U.S. and Great Britain. It details on how the Companies Act in Great Britain offers an alternative to the demand requirement. It explains why the U.S. should consider the Companies Act an alternative, and provides examples on ways the U.S. could improve shareholder derivative procedure.
