The article discusses the implications for Delaware if the government is the controlling shareholder in major private corporations. It states that under the government's control, the doctrine of sovereign immunity transforms the legal structure of answerability. Authors argue that Delaware should avoid a confrontation with the U.S. Department of the Treasury, the Federal Reserve, and the Congress by taking advantage of the flexibility provided by Delaware Court of Chancery Rule 19.
