- Abstract
The article presents an overview on the relationship between the Model Business Corporation Act (MBCA) and other entity laws in the U.S. It notes that serving as basis for the book "Corporate Director's Guidebook" has signified its continued relevance on corporate governance. However, the area of privately owned entities has posed a great challenge on its continued influence. The preeminence of the corporate form either in partnership or in corporation, driven by liability and taxation, is also explored.
