- Abstract
The article presents the similarities and differences regarding views on the role of legal opinions in finance transactions. Corporate law professors Schwarz, Coffee, Macey and Simon are in fundamental accord on their claims that lawyers must ascertain the legitimacy and validity of purpose of transactions. They also agree that lawyers must be cognizant of the warning signs of problems and must conduct investigation before issuing opinions. However, they disagree on the extent to which opinions must be issued, particularly in earnings management transactions.
