- Abstract
The article focuses on going-private freeze-out, in which controlling shareholders seek to terminate public stockownership and return the firm to a closely held entity, and reflects on minority shareholders claim that they are not fairly compensated for their shares. It presents the case Kahn v. Lynch Communication Systems, Inc. which established the application of fairness in the going-private context. It explains the risk associated with investing in non-corporate business associations.
