The article discusses plans of nonqualified deferred compensation and the six events that lead to payments and distributions under Section 409A. The first event is separation from service. The author notes key employees must wait six months for payments to commence in this event. The second event is death. Distribution is immediate. The third event is a disability. The author explains what qualifies as a disability under Section 409A. The fourth event is a specified time, which the author differentiates from a specified event. The fifth event is a change in control. The author explains all instances of this event. The sixth event is an unforeseeable emergency, which the author defines. The author concludes by explaining administrative exceptions that will allow accelerated payments.
