The article offers information on the judicial decision of the England and Wales Court of Appeal in the case of Talal El Makdessi v. Cavendish Square Holdings BV and Team Y&R Holdings Hong Kong Ltd., in which the Court examined the commercial justification for penalty clauses. It informs that the Court analyzed the rulings set out in Dunlop Pneumatic Tyre Co. Ltd. v. New Garage and Motor Company Ltd. case for providing guidelines for penalizing defendant against liquidated damages provision.
