- Authors
Lessin, Robert H.
- Abstract
The article focuses on the increase in mergers and acquisitions in the United States in 1988. It states that the factors that drive acquisitions in 1988, liquidity, values, anti-trust environment, accounting issues, and more, help encourage corporate takeovers. It mentions that hostile bids are considered a legitimate method of gaining strategic initiative. It suggests that the market is unable to evaluate certain securities, and as a result corporate raiders have been capitalizing on that inefficiency. It mentions that a tax loophole allowing tax-free spinoffs will be closed which will close certain opportunities that invite takeover bids.
