- Abstract
The article explores the federal preemption of securities and corporate law in the U.S. The author argues that even if the U.S. Securities Exchange Commission (SEC) is a strong regulatory agency, it is neither equipped nor adept at the extensive regulation and enforcement it has been undertaking in which a review of the frauds and schemes that the SEC has failed to detect demonstrates the problem. The author suggests that the SEC needs to enforce financial market.
