- Abstract
The article discusses the significant changes in corporate law and corporate governance in the U.S. following the 60 years of existence of the Model Business Corporation Act (MBCA) promulgated by the Committee on Corporate Laws Section of Business Law of the American Bar Association (ABA). It highlights the shareholder activism, which is directed to enhance the shareholders' voting power and influence over corporate affairs. The importance of shareholder activism to ensure board and managerial accountability, and suppression of fraud and misbehavior is also explored.
