The article focuses on the civil penalty proceedings relating to disclosure by James Hardie Industries Ltd. and problems of the Australian Civil penalties regime. Topics discussed include the history and theory of the civil penalty regime, the role of the Australian Securities and Investments Commission in regulating corporate misconduct, the evidential, and procedural and enforcement difficulties that have emerged with the use of civil penalties. It also discusses the Corporations Act.
