- Title
The Divergence of U.S. and UK Takeover Regulation.
- Authors
Armour, John; Skeel Jr., David A.
- Abstract
The article compares the U.S. and British systems in governing hostile takeovers. The British system is governed by a system of self-regulation, where the groups with the greatest agenda can control the rulemaking agenda. In the U.S., managers have an advantage because regulations make it more difficult to influence rules. According to the author, neither one would be classified the best but it is good to keep in mind that there are more than one ways to regulate takeovers.
